1. About us
1.1 SGC La Liberté is sold on sgcwines.com by Soil Origination International Limited, a company registered in Cyprus ("Soil", "we", "us" or "our").

2. Scope of these Terms
2.1 These Terms apply to all purchases of SGC La Liberté made on sgcwines.com by customers buying for their private use ("you").
2.2 Purchases of SGC Gold are governed by the separate terms and conditions of Les Vins Étoilés Sarl.
2.3 Please read these Terms before placing an order. By placing an order, you accept them. We recommend that you save or print a copy for future reference.
2.4 Our Privacy Policy, available at sgcwines.com/policies/privacy-policy, explains how we use your personal data.
3. Age and responsible sale
3.1 We sell alcohol only to people aged 18 or over. By placing an order, you confirm that you are at least 18 years old and that you are legally permitted to buy and receive alcohol in the country of delivery.
3.2 We may ask for proof of age at any time. We will cancel an order if we have reason to believe that the person ordering or receiving the wine is under 18, and we will refund any payment received.
4. How the contract is formed
4.1 The wines shown on our website and in our allocation notices are an invitation to order. When you place an order, you make an offer to buy.
4.2 The contract between you and us is formed when we send you an email confirming your order.
4.3 We may decline an order, for example if the wine is no longer available, if we cannot deliver to your address or if we are unable to verify your age. If we decline an order after you have paid, we will refund you in full.
4.4 If we discover an obvious error in the price of a wine after you have ordered, we will contact you. You may then confirm the order at the correct price or cancel it, in which case we will refund you in full.
5. Allocations and membership
5.1 SGC La Liberté is offered by allocation. When you buy an allocation, you become a member of the SGC La Liberté allocation programme. Membership gives you priority access to the allocations we release, together with any benefits attached to an offer you have accepted (see clause 6).
5.2 The wine, vintage, quantity, format and price of each allocation are described on our website or in our allocation notice at the time the allocation is offered. They may vary from one allocation to the next.
5.3 We release allocations according to the wine we have available. We do not undertake to offer an allocation every year. If we do not offer an allocation in a given year, you keep your membership and your benefits, and nothing is payable.
5.4 To keep your membership and your benefits, you must buy each allocation we offer you, whatever the vintage. If you decline an allocation, cancel it or do not complete payment for it, your membership and your benefits end.
5.5 We may end the allocation programme at any time, for example if we are unable to produce or source wine, by informing you by email. You will not be charged for any allocation that has not been confirmed, and we will refund any amount you have paid for wine that we do not deliver. Apart from such refunds, neither you nor we will owe the other anything as a result of the programme ending.
6. Offers
6.1 From time to time we make offers — for example a discovery purchase, an introductory offer or a benefit attached to your allocations. The specific conditions of each offer (what it includes, the price or benefit, any deadline and the conditions for keeping it) are set out in the offer itself, which we show you or send you in writing before you accept it.
6.2 If the specific conditions of an offer differ from these Terms, the conditions of the offer apply, except where they would reduce your legal rights.
6.3 Unless the offer states otherwise:
(a) an offer is personal to you; it cannot be transferred or sold, or combined with any other offer;
(b) an offer that gives access to a later purchase — for example an allocation following a discovery purchase — must be taken up within the period stated in the offer, after which it lapses;
(c) a benefit attached to your allocations, such as a discount, is kept for as long as you buy each allocation we offer you. The benefit applies to the price of each new allocation, which we set each time we offer an allocation. If you decline an allocation, cancel it or do not complete payment for it, the benefit ends permanently and cannot be reinstated.
6.4 We may withdraw or change an offer for new customers at any time. This does not affect benefits already granted to members who continue to meet the conditions of their offer, subject to clause 5.5.
7. Automatic renewal
7.1 Unless the offer states otherwise, your allocation renews automatically each year on the anniversary of your first allocation purchase (the "renewal date"), provided that we offer an allocation that year.
7.2 At least 30 days before each renewal date, we will email you the details of the allocation (wine, quantity and price), the benefits you keep, the date on which your payment card will be charged and how to cancel.
7.3 If you do not cancel, we will charge the payment card registered for your allocation on the renewal date, and not before.
7.4 You can cancel the automatic renewal at any time, free of charge, by emailing clients@sgcwines.com. Cancellation takes effect from the next renewal date that has not yet been charged. If you cancel, your membership and your benefits end (clause 5.4).
7.5 If a payment fails, we will let you know and give you 14 days to update your payment details. If payment has not been completed at the end of that period, the allocation is cancelled and your membership and your benefits end.
8. Prices and payment
8.1 Prices are shown in the currency displayed on our website. The total price, including any taxes and duties that we charge and any delivery charges, is shown at checkout before you place your order.
8.2 If any import duties or taxes are payable by you on delivery, we will tell you before you place your order.
8.3 You can pay by debit or credit card through our secure payment providers. We do not charge a fee for paying by card.
8.4 For allocations that renew automatically, you authorise us to have your card details stored by our payment providers and to charge your card on each renewal date in accordance with clause 7. We never see or store your full card number.
9. Delivery
9.1 We deliver to addresses in the United Kingdom and in France. If you would like delivery to another country, please contact us before ordering: where we are able to deliver, we will send you a quote for delivery and any applicable taxes, which you can accept before paying.
9.2 We will deliver within 30 days of confirming your order, unless we agree a different date with you.
9.3 Our carriers may ask for proof of age on delivery. We will not deliver to anyone under 18 or to anyone who appears to be under the influence of alcohol. If a delivery cannot be completed, we will contact you to arrange a new delivery.
9.4 The wine is your responsibility from the time it is delivered to you or to a person you have nominated. Ownership of the wine passes to you when we have received payment in full.
9.5 We do not store wine on behalf of customers. On request, we can deliver in bond to an account held in your own name at a bonded warehouse. Duties and taxes are then payable by you when the wine is released from bond.
10. Your right to cancel
10.1 You may cancel your purchase, without giving any reason, within 14 days of the day on which you, or a person you have nominated, receive the wine. When an allocation renews, this right applies again for 14 days from delivery of the renewed allocation.
10.2 To cancel, send us a clear statement of your decision by email to clients@sgcwines.com. You may use the model cancellation form at the end of these Terms, but you do not have to.
10.3 You must return the wine, unopened and in its original condition, within 14 days of informing us that you are cancelling. You bear the direct cost of returning the wine. Please contact us before sending it back, so that we can tell you how to return it safely.
10.4 We will refund the price you paid, including the cost of standard delivery, within 14 days of the day on which we receive the wine back or you provide evidence that you have sent it back, whichever is earlier. If you chose a delivery option more expensive than our standard delivery, we will not refund the additional cost. We will refund you using the payment method you used, unless we agree otherwise.
10.5 Opening a bottle goes beyond what is necessary to establish its nature and condition. We may therefore deduct from the refund the full price of any bottle that has been opened, unless the wine is faulty (clause 11).
11. Breakages and faulty wine
11.1 Please check your delivery on arrival. If a bottle is broken or damaged, please tell us within 48 hours, by email, with photographs of the bottle and the packaging, and keep the packaging. We will replace or refund the bottle.
11.2 If a bottle is corked or otherwise faulty, please tell us within 6 months of delivery. Please keep the bottle with its cork and the remaining wine, as we may ask you to return it for inspection, at our cost. Once the fault is confirmed, we will replace or refund the bottle.
11.3 Wine is a natural product. Sediment, tartrate crystals and slight variations between bottles are not faults. We are not responsible for any deterioration caused by unsuitable storage after delivery.
11.4 These commitments are in addition to your legal rights set out in clause 12, which they do not limit.
12. Your legal rights
12.1 We are under a legal duty to supply wine that conforms with the contract. Nothing in these Terms affects your legal rights as a consumer.
12.2 If you live in the United Kingdom, you can find information about your rights from Citizens Advice (www.citizensadvice.org.uk). If you live in the European Union, you benefit from the legal guarantee of conformity provided by the law of your country; in France, this guarantee lasts for two years from delivery.
13. Our liability
13.1 If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach or of our failure to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable.
13.2 We sell wine for private use only. If you use it for any business purpose, we have no liability to you for any loss of profit, loss of business or loss of business opportunity.
13.3 Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.
14. Events outside our control
14.1 We are not responsible for any delay or failure in performing our obligations caused by events outside our reasonable control, such as extreme weather, strikes, transport disruption or epidemics.
14.2 If such an event affects an order you have paid for, we will inform you as soon as possible and take steps to minimise the delay. If delivery is delayed by more than 30 days, you may cancel the order and receive a full refund.

15.1 If you have a complaint, please contact us by email at clients@sgcwines.com or by telephone on +44 7891 732810. We aim to reply within five working days.
16. Personal data
16.1 We use your personal data as described in our Privacy Policy, available at sgcwines.com/policies/privacy-policy.
17. Changes to these Terms
17.1 We may update these Terms from time to time, for example to reflect changes in the law or in our offers. The version that applies to your order is the one published on our website when you place it.
17.2 If we change these Terms in a way that affects an allocation that renews automatically, we will tell you in the email sent before the renewal date (clause 7.2), and you may cancel before that date.
18. General
18.1 These Terms, together with the specific conditions of any offer you accept, form the entire agreement between you and us.
18.2 If a court finds any part of these Terms invalid, the rest of these Terms will continue to apply.
18.3 If we delay in enforcing any of our rights under these Terms, we may still enforce them later.
18.4 These Terms are governed by the law of England and Wales. If you are a consumer, you also benefit from any mandatory provisions of the law of the country in which you live.
18.5 You may bring legal proceedings in the courts of England and Wales. If you live in Scotland, Northern Ireland or another country, you may also bring proceedings in the courts of the place where you live.
